Bitwise Consulting LLC provides e-commerce consulting services including, but not limited to: storefront development, conversion rate optimization, digital marketing, marketplace integration, logistics consulting, and analytics services. The specific scope, deliverables, timelines, and fees for any engagement shall be set forth in a separate written Statement of Work ("SOW") or Service Agreement executed by both parties.

Fees for our services are as agreed upon in the applicable SOW or Service Agreement. Unless otherwise stated:
Our Intellectual Property: All content on our website, including but not limited to text, graphics, logos, images, software, and the overall design, is owned by or licensed to Bitwise Consulting LLC and is protected by U.S. and international intellectual property laws.
Client Materials: You retain all ownership rights to materials, data, and content you provide to us. You grant us a non-exclusive, royalty-free license to use such materials solely to perform the agreed services.
Work Product: Upon full payment of all fees, you will own the final deliverables created specifically for you as set forth in the applicable SOW. We retain ownership of all pre-existing tools, methodologies, frameworks, and general know-how used in providing the services.
Each party agrees to maintain the confidentiality of the other party's non-public, proprietary, and confidential information. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of these Terms for a period of three (3) years.
Each party represents and warrants that: (a) it has the authority to enter into these Terms; (b) it will comply with all applicable laws; and (c) its use of the other party's materials will not infringe any third-party intellectual property rights.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITWISE CONSULTING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Bitwise Consulting LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you provide to us.
These Terms remain in effect as long as you use our website or services. Either party may terminate the engagement in accordance with the terms of the applicable SOW. We may terminate or suspend your access to our website at any time, with or without cause. All sections of these Terms that by their nature should survive termination shall survive.
These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any dispute arising out of or related to these Terms shall be resolved by binding arbitration in Harrisonville, Missouri, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
